1. Introduction & Acceptance
1.1 These Terms & Conditions ("Terms") govern your access to and use of the CPJ Fresh Market Online Grocery Store located at shop.cpjsaintlucia.com (the "Site"), and any orders you place through it.
1.2 The Site is owned and operated by Caribbean Producers St. Lucia Ltd ("CPJ Fresh Market", "we", "us", or "our"), a company registered in Saint Lucia with its principal place of business at Cul-de-Sac, Castries, St. Lucia.
1.3 By accessing the Site, placing an order, or otherwise using our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you should not use the Site.
1.4 We may amend these Terms at any time. The version in effect at the time you place an order governs that order. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
2. Eligibility
2.1 You must be at least eighteen (18) years of age to register, place an order, or purchase any product through the Site.
2.2 By placing an order, you represent and warrant that you are 18 years of age or older and that the information you provide is accurate and complete.
2.3 Certain products (including alcoholic beverages and any other age-restricted items) may only be purchased by, and will only be released to, persons aged 18 or over. We reserve the right to request valid photographic identification at the point of delivery or collection. If satisfactory proof of age cannot be provided, we may refuse to release age-restricted items, and you will be refunded for those items only.
3. Your Account & Guest Checkout
3.1 You may place orders either as a registered account holder or as a guest.
3.2 If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [INSERT SUPPORT EMAIL] if you suspect unauthorized use.
3.3 Whether ordering as a guest or registered user, you are responsible for providing accurate, current, and complete contact, billing, and delivery information. We are not liable for failed or delayed orders resulting from inaccurate information.
4. Products, Pricing & Availability
4.1 All products are offered subject to availability. Because we operate a physical grocery business, stock levels change continuously and we cannot guarantee that an item displayed online will be in stock at the time of picking.
4.2 We make every effort to display products, descriptions, images, and prices accurately. However, product images are for illustration only and actual items (including packaging, brand, and size) may differ. Weights and measures are approximate unless otherwise stated.
4.3 All prices are listed in Eastern Caribbean Dollars (XCD) and are inclusive of applicable taxes unless stated otherwise. Prices may change without notice, but changes will not affect orders we have already accepted.
4.4 In the event of an obvious pricing error, we reserve the right to cancel the affected order (or the affected item) and refund any amount paid, even after an order confirmation has been issued.
5. Orders & Order Acceptance
5.1 Your submission of an order is an offer to purchase products subject to these Terms. An automated order acknowledgement does not constitute acceptance.
5.2 A binding contract is formed only when we confirm that your order has been picked and is ready for delivery or collection, or when the order is dispatched, whichever comes first.
5.3 We reserve the right to refuse or cancel any order at our discretion, including (without limitation) where products are unavailable, where we suspect fraud, where a pricing or product error has occurred, or where we are unable to verify your age for age-restricted items.
5.4 If we cancel an order or any part of it after payment, we will refund the corresponding amount using the original payment method.
6. Substitutions & Variable-Weight Items
6.1 If an item you ordered is unavailable at the time of picking, we will contact you before making any substitution using the phone number or email associated with your order.
6.2 You may accept the proposed substitute, request an alternative, or decline. If you decline, that item will be removed and you will be refunded or credited for it.
6.3 If we are unable to reach you within a reasonable time before the scheduled delivery or collection window, we may, at our discretion, either omit the item (and refund it) or proceed with a like-for-like substitute of equal or greater value at no additional charge to you. You may decline any substitute at the point of delivery or collection for a refund of that item.
6.4 Variable-weight items (such as fresh produce, meat, poultry, fish, and deli items priced by weight): the price shown at checkout is an estimate based on a typical weight. The final charge is calculated on the actual weight at the time of picking. Where the final amount differs from the estimate, we will charge or refund the difference. By placing an order containing variable-weight items, you authorize this adjustment.
7. Delivery & Click-and-Collect
7.1 We offer both home delivery and click-and-collect from our store locations at Cul De Sac and Orange Grove Plaza.
7.2 Delivery coverage: We deliver island-wide within Saint Lucia. Delivery fees, minimum order values, and available time windows are displayed at checkout and may vary by location and order size.
7.3 Delivery and collection times are estimates only. While we strive to meet the selected window, we are not liable for delays caused by traffic, weather, force majeure, or other circumstances beyond our reasonable control.
7.4 You, or an authorized adult aged 18 or over, must be available to receive the order at the delivery address during the selected window. For age-restricted items, valid ID may be required (see clause 2.3).
7.5 If delivery cannot be completed because no one is available to receive the order or access cannot be obtained, we may return the order to the store. Perishable items may be discarded for safety reasons and may not be refunded. Re-delivery may incur an additional fee.
7.6 Click-and-collect: Orders must be collected within [INSERT TIMEFRAME] of the notification that they are ready. The person collecting must present the order confirmation and, where applicable, valid photographic ID. Perishable items in uncollected orders may be discarded.
7.7 Risk in the products passes to you upon delivery or collection.
8. Payment
8.1 At launch, we accept payment by credit and debit card processed securely through our payment provider, First Atlantic Commerce (FAC). Additional payment methods may be introduced over time and will be displayed at checkout.
8.2 Payment is authorized at the time you place your order. For orders containing variable-weight items, the final amount may be adjusted in accordance with clause 6.4.
8.3 We do not store full card details on our servers. Card processing is handled by our PCI-DSS compliant payment provider. By providing payment details, you confirm that you are authorized to use the card or payment method.
8.4 We reserve the right to verify payment details and to withhold or cancel orders pending verification.
9. Cancellations, Returns & Refunds
9.1 You may cancel or amend an order free of charge provided it has not yet entered the picking process. Once picking has begun, cancellation may not be possible. Contact us as soon as possible at [INSERT SUPPORT CONTACT] to request a change.
9.2 Due to the perishable nature of groceries and food-safety requirements, products are generally not returnable once delivered or collected.
9.3 Where a product is damaged, defective, spoiled, expired, or incorrect on receipt, please notify us within 24 hours of delivery or collection, with supporting details or photographs. We will assess each case individually and, at our discretion, offer a replacement, refund, or store credit.
9.4 Returns and refunds beyond the circumstances above are handled on a case-by-case basis at the discretion of store management, taking into account the nature of the product, the reason for the request, and applicable consumer protection law.
9.5 Approved refunds are issued to the original payment method and may take 5-10 business days to appear, depending on your card issuer or bank.
9.6 Nothing in these Terms limits any rights you may have under applicable Saint Lucia consumer protection legislation.
10. Promotions, Coupons & Pricing Offers
10.1 Promotional prices, discount codes, coupons, and special offers are valid only for the period and on the terms stated, and may be withdrawn or amended at any time.
10.2 Unless expressly stated, offers cannot be combined, are not transferable, and have no cash value.
10.3 Online promotions may differ from those offered in our physical stores. Prices and offers displayed on the Site apply only to online orders.
11. Acceptable Use
11.1 You agree to use the Site only for lawful purposes and not to: (a) interfere with or disrupt the Site or its servers; (b) attempt to gain unauthorized access to any part of the Site; (c) use the Site to transmit malware or harmful code; (d) place fraudulent or speculative orders; or (e) use automated systems to scrape, harvest, or extract data.
11.2 We reserve the right to suspend or terminate access, and to cancel orders, for any breach of this section.
12. Intellectual Property
12.1 All content on the Site — including text, graphics, logos, images, the CPJ Fresh Market name and branding, and software — is owned by or licensed to us and is protected by intellectual property laws.
12.2 You may not copy, reproduce, distribute, or create derivative works from any Site content without our prior written permission, except as necessary to place an order for personal, non-commercial use.
13. Limitation of Liability
13.1 To the fullest extent permitted by law, the Site and its content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied.
13.2 We are not liable for any indirect, incidental, special, or consequential loss, or for loss of profit, revenue, or data, arising out of or in connection with your use of the Site or any order.
13.3 Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded under applicable law.
13.4 Subject to clause 13.3, our total liability in connection with any order shall not exceed the total amount paid by you for that order.
14. Allergens & Product Information
14.1 While we aim to provide accurate ingredient, allergen, and nutritional information, this information is supplied by manufacturers and may change. Always read the product label before consumption.
14.2 If you have a food allergy or intolerance, do not rely solely on the information displayed on the Site. We cannot guarantee that any product is free from a specific allergen.
15. Privacy

16. Force Majeure
16.1 We are not liable for any failure or delay in performing our obligations where such failure or delay results from causes beyond our reasonable control, including but not limited to natural disasters, hurricanes, severe weather, fire, flood, power or telecommunications failure, supplier failure, strikes, civil unrest, pandemic, or government action.
17. Governing Law & Jurisdiction
17.1 These Terms and any dispute arising out of or in connection with them or your use of the Site are governed by the laws of Saint Lucia.
17.2 The courts of Saint Lucia shall have exclusive jurisdiction to settle any such dispute.
18. General
18.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
18.2 Our failure to enforce any right or provision is not a waiver of that right or provision.
18.3 These Terms constitute the entire agreement between you and us regarding your use of the Site and supersede any prior agreements.
18.4 You may not transfer or assign your rights under these Terms without our consent. We may assign our rights and obligations to an affiliate or successor.
